Terms and Conditions for Use of the MASTERY GULF Website

1Introduction

Welcome to the website of Itqan Al-Khalij Business Services Company, trading as MASTERY GULF, hereinafter referred to as "MASTERY" or "the Company". These Terms and Conditions set out the rules governing the use of www.mastery.sa and all associated pages, forms, and electronic services. Accessing, browsing, or submitting a request through the website constitutes acceptance of these Terms and Conditions and the Privacy Policy. If the user does not agree to any part thereof, they must cease using the website.

2Definitions

For the purposes of these Terms, the following words shall have the meanings set out opposite them:
  • Website: The MASTERY GULF website, its pages, and electronic services.
  • Company or MASTERY: Itqan Al-Khalij Business Services Company.
  • User: Any person who visits the website or uses any of its services.
  • Client: The natural or legal person who requests or contracts for any of MASTERY's services.
  • Services: Company formation, licensing, consultancy, post-incorporation services, governmental and administrative services, and other services provided by MASTERY.
  • Competent Authorities: Ministries, governmental bodies and platforms, embassies, banks, and local or foreign entities relevant to the service.
  • Contract: The quotation, service agreement, or subscription approved between MASTERY and the Client.

3Scope of Website Use

The website provides general information about MASTERY's services, including: foreign company formation in Saudi Arabia; investment, commercial, service, industrial, entrepreneurial, and professional licenses; post-incorporation services; electronic governmental services; human resources and governmental platform services; governance and compliance; Premium Residency; business consultancy and development services; second citizenship and international investment programs; and monthly packages and customised services. Information published on the website is for general informational and marketing purposes only and does not, by itself, constitute a binding offer or a final legal, tax, or investment advisory. Each service is subject to the scope of work, price, duration, and conditions specified in the quotation or contract signed with the Client. In the event of a conflict between these Terms and a separate service contract, the provisions of the contract shall prevail with respect to the contracted service.

4User Eligibility

The user confirms that they possess the legal capacity required to use the website and request services. If the user is acting on behalf of a company, institution, or another person, they confirm that they hold the legal authority to submit the request, data, and documents on their behalf. The website may not be used, nor services requested, in the name of another party without valid authorisation or legal justification.

5Nature of MASTERY's Services

MASTERY provides professional, administrative, and consultancy services to assist with preparing applications, compiling documents, submission, follow-up, and coordination with relevant authorities. MASTERY does not have the authority to issue licences, visas, residency permits, approvals, or governmental decisions; final approval, timelines, and requirements remain subject to the competent authority. MASTERY's acceptance of a client's request does not guarantee acceptance by the competent authority or the issuance of approval within a specific period. Governmental requirements, fees, and procedures, or the terms of investment, residency, and citizenship programmes, may change without prior notice from MASTERY. The requirements in force at the competent authority at the time of submission or review shall apply.

6Requesting Services and Consultations

The user must provide accurate, complete, and up-to-date information when completing forms or communicating via the website, email, telephone, or WhatsApp. Submitting a consultation or service request does not constitute acceptance of the request or the conclusion of a binding contract. The agreement becomes effective upon approval of the quotation or signing of the contract and payment of the required deposit, depending on the nature of the service. MASTERY may request additional information or documents before accepting a request or during its execution. MASTERY reserves the right to decline any request that conflicts with applicable regulations, contains incomplete or inaccurate data, or involves unacceptable regulatory, financial, or operational risks.

7Client Obligations

The Client undertakes to:
  • Provide accurate, valid, and complete data and documents.
  • Disclose the ultimate beneficial owner, source of funds, and any information required by law.
  • Obtain the consent of data subjects before providing their data to MASTERY.
  • Respond to information requests within a reasonable timeframe.
  • Review and approve documents before submission.
  • Pay fees and charges on the agreed dates.
  • Maintain the confidentiality of login credentials for governmental platforms and electronic accounts.
  • Refrain from using MASTERY's services for any activity that contravenes applicable regulations.
  • Notify MASTERY immediately of any material change to the company's data, partners, activities, or documents.

8Prices, Fees, and Taxes

MASTERY's fees are specified in the quotation or service contract. Unless otherwise stated in writing: MASTERY's fees do not include governmental fees; they do not include bank, embassy, service-provider, or third-party charges; VAT is added in accordance with the regulations in force in the Kingdom; the Client bears any fees arising from changes in requirements or re-submission due to inaccurate information or documents; and governmental and third-party fees may change without prior notice from MASTERY. Payment is not deemed complete until receipt of the amount in MASTERY's account or through the approved payment provider is confirmed.

9Payment Methods

MASTERY may offer the following payment methods: bank transfer, cash payment, point-of-sale terminals, Mada, credit cards, Apple Pay, STC Bank, Tamara, Tabby, and other approved payment methods. Instalment, card, and e-wallet services are subject to the terms and conditions of the relevant service provider. MASTERY bears no responsibility for a transaction being declined or disrupted by the bank or payment provider. The Client must verify the beneficiary's details before making a transfer. MASTERY bears no responsibility for transfers made to an unauthorised account or an entity impersonating the Company.

10Cancellation and Refunds

Cancellations and refunds are subject to the provisions of the relevant quotation or service contract and to applicable mandatory regulations. Governmental fees or third-party charges are non-refundable once paid or committed to, unless the beneficiary authority agrees to return them. The value of work performed and costs incurred by MASTERY may be deducted before any refund request is accepted. A refund request will not be accepted if the service has been fully executed or has commenced based on the Client's approval, except in cases required by applicable regulations.

11Electronic Transactions and Communications

The user consents to the use of email, WhatsApp, text messages, and electronic forms for communication and the exchange of requests, approvals, and documents. Electronic records, communications, approvals, and signatures are treated in accordance with the regulations in force in the Kingdom of Saudi Arabia. The user is responsible for ensuring the accuracy of their contact details and for protecting their devices and accounts from unauthorised access.

12Governmental Authorities and Third Parties

Service delivery may involve dealing with ministries, governmental bodies, embassies, banks, legal and accounting firms, and providers of translation, attestation, shipping, payment, and technical services. The services of these entities are subject to their own terms, procedures, and operational timelines. MASTERY bears no responsibility for delays, disruptions, or rejections arising from: decisions of competent authorities; downtime of governmental or technical platforms; changes in regulations or requirements; the Client's delay in submitting documents; security, financial, or due-diligence verification procedures; or circumstances beyond MASTERY's reasonable control.

13Premium Residency, Citizenship, and Investment Programmes

MASTERY provides assistance in assessing eligibility, preparing files, and following up on applications relating to Premium Residency, investment programmes, and second citizenship. MASTERY does not guarantee the acceptance of any application or the granting of residency, citizenship, or a passport; decisions are subject to the official authorities in the Kingdom or the relevant country. The Client is responsible for fully disclosing their financial, legal, professional, and security background and for providing the required original documents. Competent authorities may amend, suspend, or cancel programme terms, and MASTERY bears no responsibility for such decisions.

14Use Restrictions

The user is prohibited from doing any of the following:
  • Using the website for any unlawful activity or activity that contravenes the regulations of the Kingdom.
  • Submitting forged or misleading data or impersonating another person.
  • Uploading files for which the user does not hold usage rights.
  • Transmitting malware, viruses, or corrupted files.
  • Attempting to hack the website or circumvent its security measures.
  • Attempting unauthorised access to accounts, data, or systems.
  • Disrupting the website or affecting its speed, stability, or security.
  • Using automated tools to extract content or data without written consent.
  • Sending commercial spam or unsolicited messages.
  • Publishing offensive, defamatory, or unlawful content.
  • Using MASTERY's name or trade mark in a misleading manner.
  • Copying, reselling, or republishing website content for commercial purposes without authorisation.
  • Committing any act that constitutes a violation of the Anti-Cyber Crime Law or any other applicable regulation in the Kingdom.

15Intellectual Property Rights

All website content, including texts, designs, logos, images, graphics, videos, databases, files, and trade marks, is owned by MASTERY or used under a lawful licence. The user is granted a limited, non-exclusive right to browse the website and benefit from its content for legitimate personal or internal purposes. No part of the website's content may be copied, modified, republished, sold, licensed, distributed, or commercially exploited without the prior written consent of MASTERY or the rights holder. Use of the website does not grant the user any rights in MASTERY's trade name, mark, or logo.

16User-Submitted Content and Documents

The user retains their rights in the documents and information they submit, and grants MASTERY a limited licence to process, use, and share them with relevant parties to the extent necessary to deliver the service and fulfil regulatory obligations. The user confirms that they hold the right to submit such documents and data, and that MASTERY's use thereof to deliver the service does not infringe the rights of any third party.

17Privacy and Cookies

Personal data is processed in accordance with the Privacy Policy published on the website, the Personal Data Protection Law, and related regulations. The website may use cookies and technical tools necessary for its operation, performance measurement, user-experience improvement, support, and analytics, in accordance with the options available to the user and the Privacy Policy. The Privacy Policy forms an integral part of these Terms and Conditions.

These links are provided for the user's convenience and do not imply that MASTERY controls those websites or guarantees their content, security, or continuity. Use of external websites is subject to their own terms and privacy policies.

19Content Accuracy and Website Availability

MASTERY exercises reasonable care to maintain the accuracy and currency of information; however, it does not guarantee that the website is free from errors or that all information will remain up to date at all times. The website or some of its features may be temporarily suspended for maintenance, updates, technical faults, or circumstances beyond MASTERY's control. The user must verify final requirements, fees, and procedures with the MASTERY team and the competent authority before making any decision.

20Virus Protection and Cybersecurity

MASTERY applies reasonable technical and organisational measures to protect the website and data from cyber risks. Nevertheless, no website or electronic communication channel can be guaranteed to be entirely free from risk. The user must use protective software, keep their devices updated, and refrain from opening suspicious links or files. 21Limitation of Liability

The limitation of liability does not cover any liability that cannot be excluded or restricted by law, nor does it exempt MASTERY from liability for fraud, gross negligence, or wilful default. MASTERY's liability in respect of contracted services is determined in accordance with the relevant service contract and applicable mandatory regulations.

22Indemnification for Violations

To the extent determined by applicable regulations, the user shall bear damages, claims, and costs arising directly from: their breach of these Terms; submission of inaccurate data or documents; infringement of third-party rights; or use of the website or MASTERY's services for unlawful activity. This is without prejudice to the user's right to object or defend themselves before the competent authority.

23Force Majeure

MASTERY shall not be held responsible for delay or non-performance resulting from circumstances beyond its reasonable control, including natural disasters, pandemics, civil unrest, wars, communications or power outages, governmental system failures, and decisions of competent authorities. MASTERY shall resume performance of its obligations once the cause has ceased and performance becomes possible.

24Suspension and Termination of Access

MASTERY may suspend or terminate the user's access to the website or halt the processing of their request in the following cases: breach of these Terms; suspicion of fraud, forgery, or unlawful activity; failure to provide required documents; failure to pay amounts due; existence of security or regulatory risks; or a request from a competent authority. Termination shall not affect any rights or obligations that arose prior to the date of termination.

25Updates to Terms and Conditions

MASTERY may amend these Terms as necessary to keep pace with its services or regulatory and technical requirements. The date of the last update is published at the top of the page, and amendments take effect from the specified date upon publication. If an amendment is material, MASTERY will endeavour to highlight it on the website or notify the user by an appropriate means. Updates to the website's terms alone do not affect an existing service contract, except in accordance with the provisions of that contract or with the consent of both parties where consent is required by law.

26Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. The parties shall first seek to resolve any dispute amicably within thirty days of the date of written notice of the dispute. If amicable resolution is not possible, the competent courts in the city of Riyadh shall have jurisdiction, subject to mandatory jurisdictional rules and consumer rights that cannot be contractually excluded.

27Governing Language

MASTERY may provide an English version or other translations of these Terms for ease of reference. In the event of any discrepancy or conflict between the Arabic version and any translation, the Arabic version shall prevail, unless the law requires otherwise.

28Severability

If any provision of these Terms is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions, and the provision shall be replaced to the extent that achieves its purpose and is consistent with applicable regulations. MASTERY's failure to exercise any right shall not be deemed a waiver thereof.
